2. No Employer-Employee or Contractor Relationship

  • A W-2 employment relationship with Byinfosec LLC

4. No Representations or Promises

Byinfosec LLC does not make representations, warranties, assurances, or promises regarding:

  • Job availability or vacancies
  • Timing, frequency, continuity, or likelihood of placements
  • Employment outcomes, engagement duration, or success

All statements, communications, recommendations, or opinions expressed by Byinfosec representatives or recruiters are informational only and do not constitute legally binding commitments.

5. Candidate Responsibility

Candidates are solely responsible for:

  • Independently evaluating opportunities
  • Conducting due diligence on client companies, roles, and contractual terms
  • Accepting or declining offers based on their own judgment
  • Understanding and complying with their tax, legal, immigration, and employment obligations

Byinfosec LLC is not responsible for employment terms, workplace conditions, compensation disputes, or post-placement issues.

6. Limitation of Liability

To the maximum extent permitted by law, Byinfosec LLC shall not be liable for:

  • Failure to obtain employment, placement, or engagement
  • Delay, absence, or insufficiency of job opportunities
  • Decisions, actions, or omissions of client companies
  • Any loss, damage, claim, or dispute arising from placement attempt

This limitation applies to all direct, indirect, incidental, special, or consequential damages, whether foreseeable or not.

7. Governing Law

This No Employment Guarantee policy, and all interactions related to Byinfosec services, are governed by the laws of the State of Indiana, United States, without regard to conflict of law principles.

Arbitration Agreement & Class Action Waiver

This Arbitration Agreement & Class Action Waiver (“Agreement”) is entered into between you and Byinfosec LLC (“Company,” “we,” “us,” or “our”). This Agreement governs the resolution of all disputes arising from or related to your access to or use of our website, submission of information, or engagement with our services.

By accessing or using the website, submitting resumes or applications, requesting services, or otherwise interacting with Byinfosec LLC, you knowingly and voluntarily agree to be bound by this Agreement.

1. Agreement to Arbitrate

You agree that any dispute, claim, or controversy, whether past, present, or future, arising out of or relating to:

shall be resolved exclusively through final and binding arbitration, and not in a court of law, except as expressly permitted in Section 5 below. Arbitration shall be the sole and exclusive method of dispute resolution.

2. Arbitration Venue & Governing Law

3. Class Action & Jury Trial Waiver

This obligation to arbitrate survives termination of website use, services, or any relationship between you and Byinfosec LLC.

5. Exceptions

Nothing in this Agreement prevents Byinfosec LLC from seeking:

  • Injunctive or equitable relief to protect intellectual property, confidential information, or proprietary rights
  • Enforcement of an arbitration award in a court of competent jurisdiction

These limited exceptions do not waive the requirement that all other disputes be resolved through arbitration.

6. Costs & Fees

7. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

8. Modification

Byinfosec LLC reserves the right to modify this Arbitration Agreement at any time. Any changes will be effective upon posting. Continued use of the website, submission of information, or engagement with services constitutes acceptance of the modified Agreement.

9. Governing Law

This Arbitration Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to conflict of law principles.

2. Independent Contractor Disclaimer

Byinfosec LLC provides staffing, talent sourcing, and recruitment services and does not employ individuals as W-2 employees.

Accordingly:

  • All candidates are considered independent contractors unless otherwise governed by a separate written agreement between the candidate and a client company.
  • Submission of a resume, application, or other personal or professional information does not create an employer-employee, contractor, agency, or fiduciary relationship with Byinfosec LLC.
  • Any work, placement, or engagement offered by client companies is governed solely by contractual terms agreed upon between the candidate and the client, not Byinfosec LLC.
  • Candidates are solely responsible for understanding and complying with their tax, legal, immigration, work authorization, and employment obligations in their respective jurisdictions.

3. Combined Legal Effect

By combining the Equal Opportunity and Independent Contractor disclaimers:

  • Candidates are assured of fair, unbiased, and lawful evaluation.
  • Candidates acknowledge that Byinfosec LLC does not hire, employ, or engage individuals as W-2 employees.
  • Client companies retain exclusive authority over hiring, engagement, compensation, and termination decisions.
